Isn’t partial stake sale the same as financial investment?
No, it isn’t. Partial stake sale represents a current shareholder
selling a share of the company in exchange for money (Please note that investor money
is paid to the shareholder). Financial investment, on the other hand,
is when the company issues new shares to the investor in exchange for money
(in comparison, investor money is paid to the company which would use it for
growth/recapitalization)
You can avail a Startup business loan from a bank or a financial body in order to raise funds to start a business of your own or expand your current business. The rate of interest charged by the bank will depend on the loan amount availed by you and the repayment tenure.
If you are looking to buy or sell a business carried on by a company
there are two common sale structures: the company can either sell its business and
assets (asset sale) or the shareholders can sell the shares in the company (share sale).
Both structures should be carefully considered with your legal and tax advisors
before agreeing the terms of any transaction.
The legal and tax implications of an asset sale are very different from a share sale.
Sellers (particularly individual sellers) often prefer a share sale while buyers
often prefer an asset sale. Which sale structure is chosen will often be determined
by the relative bargaining power of each of the parties.
The purpose of this article is to consider the principal differences between the two
structures. If, having considered this guide, you would like to know more or to
discuss you own circumstances in greater detail, please speak to your usual contact
